Tax Credit Assessment
Preliminary review of documentation to determine eligibility and potential amount of tax credit, including cost segregation to calculate tax basis and eligibility for any available bonus credits.
Transfer Registration with the IRS
Prior to the transfer of federal tax credits, the credits must be registered with the IRS. Our team is able to help with processing this registration.
Tax Opinions
Through our partnership with BrookTax LLC, we are able to arrange for a written tax opinion from licensed attorneys who are permitted to practice before the IRS. This tax opinion includes cost segregation to determine the tax basis and evalution of bonus used to validate the amount of the tax credit and may be provided as part of the due diligence package to potential buyers to help mitigate risk associated with the transaction
Tax Credit Brokerage and Transaction Services
Through our Tax Credit Marketplace, transferable credits are made available to an large number of eligible buyers. The Marketplace allows for sharing of due diligence documents with potential buyers, as well as NDA and Purchase/Sale Agreements.
Tax Compliance
Once the transaction has been completed, our team is able to assist with the documentation required as part of the annual tax return that deals with the transfer. This documentation includes Form 3800 and other relevant source credit forms, schedule for Form 3800 and valid transfer election statement.
Buyer Services
Tax Credit Brokerage and Transaction Services
Through our Tax Credit Marketplace, buyers can evaluate transferable credits that are available for sale in terms of both value and risk profile. The Marketplace allows for sharing of due diligence documents from sellers. A standard Purchase/Sale Agreement (PSA) can be tailored to incorporate specific representations and warranties, forbearance agreements, and limitations of liabilities.
Due Diligence and Risk Mitigation
Upon execution of an NDA, Buyers have access to all due diligence documents required to fully evaluate the eligibility and amount of the transferable tax credit. Each transferable tax credit listed on our Tax Credit Marketplace indicates whether the seller has uploaded all the required due diligence documents for that specific credit. In addition to completing its own due diligence buyers may also consider arranging for a written tax opinion
